Terms of Service — Chesed Club

These Terms of Service (“Terms”) govern your use of the Chesed Club mobile app (“the app”), operated by MADA Community Center (“MADA”, “we”, “us”), a registered Canadian charity based in Montréal, Québec. Please read them carefully.
1. Acceptance of these Terms
By creating a family account, adding a child, or otherwise using the app, you agree to these Terms and to our Privacy Policy, which forms part of these Terms. If you do not agree, do not use the app. You accept these Terms on your own behalf and on behalf of every child you add to your family.
2. The app
Chesed Club is a free family app. Children read short illustrated stories about kindness, earn badges and reading streaks, and use a coin wallet to make donations to MADA's charitable projects. Parents create and manage the family account, add children, top up coins, and approve children's coin requests.
3. Eligibility
- A family (parent) account may only be created by a parent or legal guardian who is at least 18 years old and has the legal capacity to enter into a binding agreement.
- Children may use the app only through a child login created by their parent or legal guardian, under that parent's supervision. Children cannot create accounts on their own.
- You may not use the app if you have previously been suspended or removed from it by MADA.
4. Accounts and security
- You must provide accurate, current information and keep it up to date.
- You are responsible for keeping your sign-in credentials confidential, including your password and, if you use Sign in with Google, access to that sign-in account.
- Children sign in by scanning a family QR code generated by the parent. You are responsible for keeping the QR code private: anyone who scans it can sign in as the child.
- You are responsible for everything that happens under your family account, including all activity by your children and by anyone you allow to use your device.
- Notify us at app@madacenter.com immediately if you believe your account has been accessed without permission.
5. Parental consent and responsibility
By adding a child to your family, you confirm that you are that child's parent or legal guardian, that you consent to the collection and use of the child information described in our Privacy Policy, and that you will supervise your child's use of the app. You are responsible for all activity, coin requests, transfers, donations, and purchases made through any account in your family, whether made by you or by a child, and whether or not you authorised that specific action.
6. The coins wallet
- What coins are. Coins are a way to make donations to MADA's charitable projects and to allocate giving within the family. When a parent tops up coins, the payment is a voluntary contribution to MADA Community Center.
- No cash value. Coins have no cash value. They cannot be redeemed for money, transferred outside the app, sold, exchanged, or used to buy goods or services. Coins are not a currency, a deposit, a stored-value card, or an investment, and they earn no interest.
- Only parents can top up. Top-ups are voluntary payments that only a parent can make. The parent is responsible for all top-ups made through the family account, including any made with a payment method saved to the account.
- Within the family. Coins may be sent between members of the same family inside the app. Parents approve or decline children's coin requests.
- Donations are final. Once coins are donated to a MADA project, the donation is final and non-refundable. MADA applies donations to the selected project where possible; if a project is fully funded, closed, or no longer exists, MADA may apply the donation to a similar charitable purpose.
- Refunds of un-donated top-ups. If you topped up coins by mistake and they have not been donated, you may request a refund by emailing app@madacenter.com within 30 days of the payment, and we will refund the un-donated amount to the original payment method. After 30 days, refunds of un-donated top-ups are granted at MADA's discretion.
- Account deletion. Any un-donated coin balance remaining when a family account is deleted is treated as a donation to MADA, unless you requested a refund under the paragraph above before deleting the account.
- Receipts. Where applicable, MADA issues donation receipts in accordance with Canada Revenue Agency rules. A receipt requires the donor's name and address. Contact us if you need a receipt.
- Errors. If a technical error credits, debits, or transfers coins incorrectly, MADA may correct the balance and will let you know.
7. Payments
Card payments are processed by a third-party payment processor under its own terms and privacy policy. Card details are entered directly with the payment processor; MADA does not see or store card numbers. Amounts for coin top-ups are shown in the app before you confirm a payment. You authorise MADA and its payment processor to charge the payment method you provide for the amount you confirm. You are responsible for any fees your bank or card issuer charges.
8. Content and intellectual property
The stories, illustrations, badges, characters, app design, software, and the MADA and Chesed Club names and logos belong to MADA or its licensors and are protected by copyright, trademark, and other laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the app and its content for personal, non-commercial family use, in accordance with these Terms. You may not copy, modify, distribute, publicly display, create derivative works from, or commercially exploit any part of the app or its content without our written permission. All rights not expressly granted are reserved.
9. Your content
You and your children may submit content to the app, such as avatars, photos, and support-chat messages (“User Content”). You keep ownership of your User Content. You grant MADA a non-exclusive, royalty-free, worldwide licence to store, reproduce, and display your User Content solely to operate, secure, and support the app for your family. This licence ends when the content or the account is deleted, except for copies we must keep under section 12 of the Privacy Policy or applicable law. You confirm that you have the right to submit your User Content and that it does not infringe anyone's rights.
10. Acceptable use
You agree not to, and not to allow your children to:
- Use the app for any unlawful purpose or in a way that harms MADA, other families, or children
- Create accounts for children you are not the parent or legal guardian of, or impersonate any person
- Share the family QR code or sign-in credentials with people outside your family
- Upload or send unlawful, abusive, threatening, hateful, sexual, or otherwise inappropriate content, whether in an avatar, a photo, the support chat, or anywhere else in the app
- Attempt to gain unauthorised access to the app, its servers, or other families' data, or circumvent any security measure
- Copy, scrape, harvest, reverse-engineer, decompile, or resell the app or its content
- Use bots, scripts, or other automated means to access the app or to manipulate coins, badges, or streaks
- Interfere with the operation of the app or place an unreasonable load on our systems
- Use the app to send spam or unsolicited communications
We may remove content and suspend or terminate accounts that breach this section.
11. Support chat
The in-app support chat is for questions about the app and is answered by MADA staff during normal working hours. It is not an emergency service and is not monitored around the clock. If you or a child is in danger or needs urgent help, call your local emergency number (911 in Canada) or a crisis line.
12. Availability and changes to the app
We may change, add, or remove features, stories, badges, or charity projects at any time. The app may be unavailable from time to time for maintenance, updates, or reasons outside our control, and we do not guarantee uninterrupted access. Additional languages (French, Russian, Hebrew) are planned but not guaranteed. We may discontinue the app; if we do, we will give reasonable notice where possible so that you can request a refund of any un-donated top-ups under section 6.
13. Suspension and termination
You may stop using the app at any time and delete your account as described on our Account Deletion page. We may suspend or terminate an account, with or without notice, if we reasonably believe these Terms have been breached, if required by law, to protect the safety of a child or other users, or if we discontinue the app. Donated coins are not refunded on termination. Where possible we will give you notice so that you can request a refund of any un-donated top-ups under section 6. Sections that by their nature should survive termination (including sections 6, 8, 14, 15, 16, and 17) will survive.
14. Disclaimer of warranties
To the extent permitted by applicable law, the app and its content are provided “as is” and “as available” without warranties or conditions of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the app will be error-free, secure, or uninterrupted, or that content is accurate or complete. The stories are for general educational purposes and do not constitute professional advice.
Québec residents and consumers. If you are a consumer under the Consumer Protection Act (Québec) or similar legislation, nothing in these Terms excludes or limits warranties, conditions, or rights that cannot be excluded or limited under that legislation. In that case, the disclaimers and limitations in these Terms apply only to the extent permitted by law.
15. Limitation of liability
To the fullest extent permitted by applicable law, MADA and its directors, officers, employees, volunteers, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, goodwill, or opportunity, arising from or related to your use of, or inability to use, the app, even if we were advised of the possibility of such damages. To the fullest extent permitted by law, our total aggregate liability to you for all claims relating to the app is limited to the amount of un-donated top-ups you paid in the 12 months before the event giving rise to the claim. Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including under the Civil Code of Québec or the Consumer Protection Act (Québec).
16. Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless MADA and its directors, officers, employees, volunteers, and agents from any claims, losses, damages, and reasonable costs (including legal fees) arising from your or your children's misuse of the app, breach of these Terms, violation of any law, or infringement of any third party's rights through User Content.
17. Governing law and disputes
These Terms are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Any dispute arising from these Terms or the app will be brought exclusively before the courts of the judicial district of Montréal, Québec, unless applicable consumer protection law gives you the right to another forum. Before starting a legal proceeding, we ask that you contact us at app@madacenter.com so that we can try to resolve the issue informally.
18. Language
The parties have expressly requested that these Terms and all related documents be drawn up in English. Les parties ont expressément demandé que ces conditions et tous les documents qui s'y rattachent soient rédigés en anglais. A French version may be provided for convenience; in case of conflict, the English version prevails to the extent permitted by law.
19. General
- Severability. If any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full force.
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and MADA concerning the app and replace any prior agreements or communications on the subject.
- No waiver. If we do not enforce a provision of these Terms, that is not a waiver of our right to enforce it later.
- Assignment. You may not transfer your rights or obligations under these Terms. MADA may assign these Terms to a successor organisation that takes over the app.
- App stores. If you downloaded the app from an app store, the store's terms also apply to your use of the app. The app store is not a party to these Terms and is not responsible for the app or for support.
20. Changes to these Terms
We may update these Terms from time to time. The “Last updated” date at the top shows the latest version. If we make material changes, we will notify you in the app or by email at least 30 days before they take effect, unless a shorter period is needed to comply with the law or address a security issue. Continuing to use the app after a change takes effect means you accept the updated Terms. If you do not agree, stop using the app and delete your account.
